User Agreement

This User Agreement (also referred to as "Terms of Service" or "Terms") applies to Goldara (the "Service") provided by Goldara Media ("We", "Us", "Our", or "Goldara"), accessible at goldara.cc. It reflects Our business model, applicable law, and company principles. By accessing or using the Service, You agree to these Terms. If You do not agree with these Terms, You should not use the Service.

1. Your Relationship with Goldara

1.1 Service Provider

The Service is provided by Goldara Media, a media organization based in Toronto, Ontario, Canada. These Terms constitute a legally binding agreement between You and Goldara Media. For users in the European Union, the minimum age is 16 unless parental consent is provided in accordance with Article 8 of the GDPR. 2. Using Goldara

2.5 Network and Device Charges

You are responsible for all internet connection, mobile network, Wi-Fi, and other connectivity charges incurred while using the Service. The Service may use internet connectivity in the background for content delivery and security updates.

3. Content in the Service

3.1 Your Content

"Your Content" means any content You create, upload, submit, store, send, or share through the Service, including comments, feedback, and correspondence. You retain all intellectual property rights in Your Content. By submitting Your Content to Goldara, You grant Us a worldwide, non-exclusive, royalty-free license to host, store, use, copy, reproduce, distribute, modify, adapt, publish, publicly display, and communicate Your Content for the purposes of operating, improving, and promoting the Service.

This license continues for the duration of Your use of the Service and for the period necessary to remove Your Content from Our systems after termination. You represent and warrant that You have all necessary rights and permissions to submit Your Content and that it does not violate any law or third-party rights.

3.2 Goldara's Content

All editorial content published by Goldara — including articles, newsletters, market commentary, graphics, logos, and design elements — is the intellectual property of Goldara Media. You may not remove, alter, or obscure copyright notices, branding, or legal notices displayed in the Service. You may share links to Our articles for personal, non-commercial use, but You may not republish, reproduce, or distribute Our content in whole or in part without prior written permission.

3.3 Third-Party Content

The Service may contain or link to content provided by third parties, including syndicated articles, market data feeds, and external websites. Third-party content does not represent the views or opinions of Goldara. You are responsible for complying with any applicable terms when accessing third-party content, and You may not use such content without the necessary permissions.

4. Software in the Service

If the Service includes any downloadable software, browser extensions, or applications, such software is licensed to You on a worldwide, non-exclusive, royalty-free, personal, non-transferable basis for the sole purpose of using the Service. You may not copy, modify, distribute, sell, lease, or reverse engineer any software provided by Goldara, except as expressly permitted by applicable law or open-source license terms. Open-source components are governed by their respective license agreements.

5. Subscriptions and Payments

5.1 Paid Subscriptions

If Goldara offers paid subscriptions, the applicable price, billing cycle, renewal terms, and cancellation options will be clearly presented before purchase. By subscribing, You authorize Us (or Our payment processor) to charge the selected payment method for the subscription fees until You cancel.

5.2 Renewal and Cancellation

Paid subscriptions automatically renew at the end of each billing cycle unless cancelled. You may cancel at any time through Your account settings or by contacting Us at [email protected]. Cancellation takes effect at the end of the current billing period. Promotional or trial access may be subject to additional terms shown at the time of offer.

5.3 Refunds

Refund eligibility depends on the subscription terms and applicable law. If You are entitled to a refund by law, contact Us at [email protected]. For annual subscriptions, You may request a pro-rated refund within 14 days of purchase, as permitted by applicable law.

5.4 Price Changes

We may change subscription prices with at least 30 days' advance notice. Price changes will take effect at the next renewal after the notice period. If You do not agree with the new price, You may cancel before the renewal date.

6. Feedback

We welcome feedback, suggestions, and ideas for improving the Service. By submitting feedback to Goldara, You grant Us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate Your feedback into the Service without any obligation or compensation to You. This limitation does not apply to liability that cannot be limited under applicable law, including liability for fraud, death or personal injury caused by negligence, willful misconduct, or violation of applicable data protection law.

8.2 For Business Users

If You are a business user (i.e., using the Service for commercial purposes rather than as a consumer), You agree to indemnify and hold Goldara Media harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from Your breach of these Terms or misuse of the Service. Goldara Media's total liability to You shall not exceed the greater of: (a) USD $500, or (b) 125% of the amount You paid to Us in the twelve (12) months preceding the event giving rise to the claim.

8.3 Statutory Rights

You may have certain statutory rights under applicable consumer protection laws that cannot be excluded or limited. Nothing in these Terms is intended to exclude, restrict, or modify any such rights.

9. Indemnification

You agree to indemnify, defend, and hold harmless Goldara Media, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your use of the Service; (b) Your violation of these Terms; (c) Your violation of any law or third-party rights, including intellectual property rights; or (d) Your Content. Goldara reserves the right to assume exclusive control of any defense and settlement of matters for which You are required to indemnify Us, and You agree to cooperate with Us in such defense.

10. If Problems Arise

10.1 Content Removal and Account Action

We reserve the right to remove any content that violates these Terms, applicable law, or may cause harm to others. We also reserve the right to suspend or terminate access to the Service for users who materially or repeatedly violate these Terms, engage in fraudulent or harmful behavior, or as required by law. Where possible, We will provide notice and an opportunity to appeal before taking action, except where urgent intervention is necessary to prevent harm.

10.2 Dispute Resolution and Governing Law

These Terms and any dispute arising out of or related to them or the Service shall be governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. The courts of Ontario shall have exclusive jurisdiction over any disputes.

Before initiating legal proceedings, You agree to first attempt to resolve the dispute informally by contacting Us at [email protected]. If the dispute cannot be resolved within 60 days, either party may initiate proceedings in the competent courts of Ontario, Canada. If local law prohibits this jurisdiction requirement, You may bring the dispute before the courts of Your place of residence.

10.3 Class Action Waiver

To the extent permitted by applicable law, You agree that any dispute will be brought individually and not as part of a class action or representative proceeding. No arbitration or proceeding may be joined or consolidated with another.

11. Changes to These Terms

We may update these Terms from time to time to reflect changes in our business, applicable law, security requirements, or to prevent abuse of the Service. We will post updated Terms on this page and update the "Last Updated" date. For material changes that affect Your rights, We will provide advance notice through the Service or by email to the address associated with Your account.

12. About These Terms

• Force Majeure: We shall not be liable for any delay or failure to perform Our obligations due to causes beyond Our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, labor disputes, or internet or infrastructure failures.
