Welcome to Goldara (the "Service"). These Terms of Service ("Terms") govern your access to and use of the Service, which is provided by Goldara Media ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, then you may not access the Service.

1. Acceptance of Terms and Conditions

By accessing, browsing, or using the Goldara website located at goldara.cc (the "Site"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not access or use the Service.

Your continued use of the Service constitutes your ongoing acceptance of these Terms. We may require you to affirmatively indicate your acceptance (such as by clicking an "I agree" button) when you register for an account, subscribe to a newsletter, or access certain premium features.

These Terms apply to all visitors, subscribers, registered users, and contributors, whether or not a paid subscription exists. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. User Rules and Responsibilities

2.1 Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. 2.2 License to Use

We grant you a limited, non-exclusive, revocable, non-transferable license to access and use the Service for its intended editorial and educational purposes, subject to these Terms. This license does not include any right to resell, syndicate, or commercially exploit the Service or its content.

2.3 Account Security

You are responsible for all activity that occurs through your account (if applicable), including maintaining the confidentiality and security of your password and account credentials. You agree to notify us immediately of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to comply with this obligation.

2.4 Acceptable Use

You agree not to use the Service for any illegal or unauthorized purpose. Without limitation, you agree that you will not:

  • Use the Service in any way that violates applicable local, national, or international laws or regulations.
  • Interfere with, disrupt, or overload servers, networks, or infrastructure connected to the Service, including by transmitting viruses, malware, or any other malicious code.
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.
  • Reproduce, duplicate, copy, sell, resell, or commercially exploit any portion of the Service without our prior written consent.
  • Use automated scripts, bots, scrapers, or similar tools to collect, harvest, or extract data from the Service without our express written permission.
  • Impersonate another person or entity, or falsely state or misrepresent your affiliation with a person or entity.
  • Submit false or misleading information in any form, including in comments, feedback, or correspondence.
  • Use the Service to transmit any unsolicited commercial communications (spam).

We reserve the right to suspend or terminate access for any violation of these rules.

3. Intellectual Property

3.1 Our Rights

The Service and its original content, including but not limited to articles, headlines, graphics, logos, design, layout, typography, software, and functionality, are and will remain the exclusive property of Goldara Media and its licensors. All content is protected by applicable copyright, trademark, and other intellectual property laws of Canada and other jurisdictions.

Our trademarks and trade dress (including the name "Goldara," our logo, and our visual design elements) may not be used in connection with any product or service without our prior written consent.

3.2 Permitted Use

You may read, view, and share links to our articles for personal, non-commercial use. You may print or download a reasonable number of articles for your own personal, non-commercial reference, provided that you do not modify the content, retain all copyright and proprietary notices, and do not republish, redistribute, or resell the content.

3.3 User Content

If you post, link, or otherwise make available content through the Service (including comments, feedback, tips, or correspondence) ("User Content"), you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, modify, publicly perform, publicly display, reproduce, and distribute such User Content on and through the Service. You retain all of your rights to any User Content you submit. You represent and warrant that your User Content does not infringe the rights of any third party and that you have all necessary rights to grant the license set out above.

3.4 Third-Party Content

The Service may display or link to content, trademarks, logos, or services owned by third parties. We do not claim any ownership over third-party content and your use of such content is subject to the respective third-party terms and policies.

4. Third-Party Links and Services

Our Service may contain links to third-party websites or services that are not owned or controlled by Goldara Media. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You access third-party sites at your own risk and should review their terms and privacy policies before using them.

We are not responsible for any damage, loss, or liability arising from your interaction with any third-party website or service linked from our Service.

5. Disclaimer of Warranties

Goldara provides editorial and educational financial content. Our articles, newsletters, and analyses do not constitute investment, tax, legal, or accounting advice. You should consult a qualified professional advisor before making any financial or investment decision based on information from the Service.

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. GOLDARA MEDIA, ITS DIRECTORS, EMPLOYEES, EDITORS, PARTNERS, AGENTS, SUPPLIERS, AND AFFILIATES DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, error-free, secure, or available at all times. We do not warrant that the information on the Service is accurate, complete, or current at all times, as market conditions change rapidly.

6. Limitation of Liability

IN NO EVENT SHALL GOLDARA MEDIA, NOR ITS DIRECTORS, EMPLOYEES, EDITORS, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE.

This limitation of liability applies regardless of the legal theory of recovery, whether in contract, tort (including negligence), strict liability, or otherwise, and whether or not Goldara Media has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of Goldara Media for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or one hundred Canadian dollars (CAD $100.00), whichever is greater.

Applicable law may not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

7. Indemnification

You agree to defend, indemnify, and hold Goldara Media, its directors, employees, editors, partners, agents, suppliers, and affiliates harmless from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorney's fees) resulting from or arising out of your use of or access to the Service, your violation of these Terms, or your violation of any rights of a third party, including intellectual property rights.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses. You may not settle any matter without our prior written consent.

8. Account Cancellation and Suspension

8.1 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, all licenses and rights granted to you under these Terms will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitation of liability.

8.2 Termination by You

You may stop using the Service at any time. If you have a paid subscription, you may cancel it at any time through your account settings or by contacting us at [email protected]. Cancellation will take effect at the end of your current billing period. No refunds or credits will be issued for partial billing periods except as required by applicable law.

8.3 Effect of Termination

Following termination or suspension of your access, we will have no obligation to maintain or provide access to any content, settings, or data associated with your account. You are solely responsible for backing up any content or data you wish to retain before terminating your account.

8.4 Suspension for Non-Payment

If applicable, we may suspend access to premium features if payment is overdue. We will attempt to notify you before suspending access. Access will be restored upon successful payment of outstanding amounts.

9. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If we make material changes, we will provide at least thirty (30) days' prior notice before the new terms take effect, either by posting a prominent announcement on the Service or by sending a notice to the email address associated with your account.

What constitutes a material change will be determined at our sole discretion. Material changes may include modifications to the scope of the license granted, dispute resolution provisions, limitation of liability, or applicable law provisions.

By continuing to access or use the Service after the revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service before the effective date.

The "Last updated" date at the top of this page indicates when these Terms were last revised. You are responsible for reviewing this page periodically to stay informed of any updates.

10. Dispute Resolution

10.1 Good Faith Negotiation

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall first be addressed through good-faith negotiation. Before initiating formal proceedings, you agree to contact us at [email protected] with a written description of the Dispute and allow us at least thirty (30) days to respond and attempt to resolve the matter informally.

10.2 Binding Arbitration

If the Dispute cannot be resolved through informal negotiation within sixty (60) days, the Dispute shall be finally resolved by binding arbitration administered by the ADR Institute of Canada (ADRIC) in accordance with its applicable rules then in effect. The arbitration shall be conducted by a single arbitrator. The place of arbitration shall be Toronto, Ontario, Canada. The language of the arbitration shall be English.

Notwithstanding the foregoing, either party may seek interim or injunctive relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm at any time, without first submitting to arbitration.

10.3 Class Action Waiver

You and Goldara Media agree that each may bring Disputes against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

10.4 Governing Law and Jurisdiction

These Terms and any Dispute shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to the arbitration provisions above, the exclusive jurisdiction and venue for any Dispute not subject to arbitration shall be the courts of the Province of Ontario, Canada, and you consent to the personal jurisdiction of such courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any other terms referenced herein, constitute the entire and exclusive agreement between Goldara Media and you regarding the Service and supersede and replace any prior or contemporaneous agreements or understandings, whether oral or written.

11.2 Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

11.3 Assignment

You may not assign, transfer, or sublicense your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction. Any attempted assignment in violation of this section shall be void.

11.4 No Waiver

No failure or delay by Goldara Media in exercising any right or enforcing any provision of these Terms shall operate as a waiver of that right or provision. A waiver on one occasion shall not be construed as a waiver of any other or future occasion.

11.5 Notices

Any notices to Goldara Media must be in writing and sent to [email protected]. Notices to you may be provided via email to the address associated with your account, or by posting on the Service. Notices are deemed received upon transmission.

11.6 Force Majeure

Goldara Media shall not be liable for any failure or delay in performance under these Terms to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, power outages, or internet or telecommunications failures.
